Terms And Condition

You are reading Terms of Use ("Terms"), which is the agreement between you and MMB Advisors Private Limited, for using its website (https://mentormyboard.com/) ("MMB").

MMB is a private company in terms of the Companies Act, 2013 with corporate identification number U74999MH2018PTC303986 and registered office at # 11, Shree Durga Apartment, Gr. Floor, Plot # 186, Sector 10, Sanpada, Navi Mumbai 400 705, Maharashtra, India.

Through its website, MMB shall provide several services for companies, existing and to-be directors & boardrooms. MMB offers Directors broader and diverse boardroom roles and informed decisions by the implementation of the experience - based mentors training interventions, consultations & special curated programs (“Programs”). By accessing or using MMB's programs & services ("Service"), you signify that you have read, understood, and agree to be bound by this Terms, MMB's Disclaimer & Privacy Policy, and other applicable terms posted on or provided with the Service, whether or not you are a registered User of our Service.

MMB reserves the right to amend these Terms at any time in our sole discretion, by notifying you of the change in writing or electronically (including without limitation, by e-mail, or by posting a notice on MMB that the terms have been updated). The changes also will appear in this document, which you can access at any time by going to the Terms of Use Section. Your continued use of the Service after any such changes constitutes your acceptance of the revised Terms. These Terms apply to all visitors, participants, users, attendees, and others who access the Service ("Users").

These Terms shall apply to MMB-hosted WhatsApp groups, Facebook groups, Instagram pages, Facebook pages, email/SMS/phone communications, and other social media forums hosted by MMB, which shall be deemed to be part of the MMB by reference. You acknowledge that certain parts of the MMB, as mentioned above, are provided by third-party service providers, and you agree to abide by their terms and conditions. MMB shall not be responsible for any disruption of services caused by such third-party service providers.

(1) Eligibility for using MMB

To access or use MMB you should be at least 18 years of age or, if older, the age of majority in your jurisdiction, otherwise, you shall not use MMB. MMB is for your personal, non-commercial use unless having separate agreement(s) with us for your commercial use. You shall not use MMB if we have deactivated/terminated your account or enrolment into the program or banned you.

Persons who are “incompetent to contract” within the meaning of the Indian Contract Act, 1872 including minors, un-discharged insolvents, etc. are not eligible to use/access MMB (mobile application/software/website).

(2) Use of the Services

MMB encourages in-depth understanding of the boardroom leadership and create ethical boards and visionary & futuristic directors and provides a platform to the attendees, visitors, participants, Users, and other people too, programs, information, solutions, and other services with regards to corporate as well as securities compliances for corporate houses (“Services”).

It is not mandatory to complete the signup/sign-in process in order to visit MMB, except for using specially designed services.

To avail of Services including membership, training programs, Compliance Assistance, director’s musters, placements, insurance & financial advisory & management services, you will need to enroll for services by registering with MMB and creating an account, by providing true and correct credentials, including valid e-mail address. Upon payment of the fees for services you availed, you will then be able access to the Services and functionality that we may establish and maintain from time to time, at our sole discretion. Such an e-mail address must be one where we can reach you. When you set up an individual user account on MMB along with the password, we create a member profile for you, that will include personal information you provide. You are entirely responsible for maintaining the confidentiality of your password and your account. You agree to notify us immediately if you suspect any unauthorized use of your account or access to your password. You are solely responsible for any and all use of your account. Passwords are subject to cancellation or suspension by MMB at any time.

To avail of Services including membership, training programs, Compliance Assistance, director’s musters, placements, insurance & financial advisory & management services, you will need enroll for services by registering with MMB and create an account, by providing true and correct credentials, including valid e-mail address. Upon payment of the fees for services you availed, you will then be able to access to the Services and functionality that we may establish and maintain from time to time, in our sole discretion. Passwords are subject to cancellation or suspension by MMB at any time.

If you no longer wish to use any MMB programs and / or all services, you may terminate your participation by giving notice to MMB.

Participants of MMB shall be provided access to such programs via email. You agree not to share such access with any third party. If you are unable to attend an online/offline program lectures and sessions, please provide MMB with prior intimation regarding this.

You shall be exclusively responsible for obtaining and maintaining any equipment or ancillary services needed to connect to, access, receive or use the MMB, including, without limitation, hardware devices, software, and other internet, wireless, broadband, phone or other mobile communication device connection services. You shall be exclusively responsible for ensuring that such equipment or ancillary services are compatible with the MMB, and you shall be responsible for all charges incurred in connection with the use of the MMB and services in connection with all such equipment and ancillary services.

Subject to your compliance of these Terms, we grant you a limited, non-exclusive, non-transferable, non-sublicensable license to access and make personal use of the Service. This license does not include any resale or commercial use of any part of the Service, or its contents; any collection and use of any information, descriptions, reviews of the listed Services or other material included in the Service; any derivative use of any part of the Service or its contents; any downloading, copying, or other use of account information for the benefit of any third party; or any use of data mining, robots, or similar data gathering and extraction tools.

All rights not expressly granted to you in these Terms are reserved and retained by us or our licensors, suppliers, rights-holders, or other content providers. No part of the Service may be reproduced, duplicated, copied, sold, resold, visited, or otherwise exploited for any commercial purpose without our express written consent. You may not frame or utilize framing techniques to enclose any trademark, logo, or other proprietary information (including trade dress, images, text, page layout, or form) of MMB without our express written consent.

Needless to say, the licenses granted by us automatically terminate if you do not comply with these Terms.

There may be scheduled as well unscheduled service interruptions and you acknowledge that MMB will not be liable for any interruption of the Service, delay or failure to perform.

You are solely responsible for your interactions with other MMB Users. We have the right, but not an obligation, to monitor disputes between you and other Users. MMB shall have no liability for your interactions with other Users, or for any User’s action or inaction.

(3) User Content

Some areas of the Service may allow Users to upload, publish, display, link to or otherwise make available (hereinafter, "Post") reviews, comments, questions, highlights, hypothetical's, examples, assignments, corporate projects, and other information including Users’ names and personal information ("User Content"). You are solely responsible for your User Content.

You agree not to post User Content that is illegal, obscene, threatening, defamatory, invasive of privacy, infringing of intellectual property rights (including publicity rights), or otherwise injurious to third parties or objectionable, and does not consist of or contain software viruses, political campaigning, commercial solicitation, chain letters, mass mailings, or any form of "spam" or unsolicited commercial electronic messages. You shall not use a false e-mail address, impersonate any person or entity, or otherwise mislead as to the origin of content. You hereby represent that you are the owner of all the copyright rights with respect to, or that you have the legal right to post, your User Content, and that you have the power to grant the license granted below. MMB reserves the right to monitor, reject and / or remove any User Content at any time. For example, MMB may, but is not obligated to, reject and / or remove any User Content that MMBbelieves, in its sole discretion, violates these provisions.

MMB takes no responsibility and assumes no liability for any User Content that you or any other Users or third parties post or send over the Service. You understand and agree that any loss or damage of any kind that occurs as a result of the use of any User Content that you post is solely your responsibility. MMB is not responsible for any public display or misuse of your User Content. You understand and acknowledge that you may be exposed to User Content that is inaccurate, offensive, indecent, or objectionable, and you agree that MMB shall not be liable for any damages you allege to incur as a result of such User Content. MMB may provide tools for you to remove some User Content, but does not guarantee that all or any User Content will be removable.

(4) License Grant

By registering yourself and upon payment of fees to avail listed Services or posting any User Content, you expressly grant to MMB an nonexclusive, royalty-free, perpetual, irrevocable, and fully sub-licensable right to use, reproduce, modify, adapt, publish, perform, translate, create derivative works from, distribute, and display such content throughout the world in any media. You represent and warrant that you own or otherwise control all of the rights to the content that you provide or post; that the content is accurate; that use of the content you supply does not violate this policy and will not cause injury to any person or entity; and that you will indemnify MMB for all claims resulting from content you supply.

(5) Our Proprietary Rights

Except for your User Content, the Service and all materials therein or transferred thereby, including, without limitation, online/live lectures, speeches, presentation material, software, images, text, graphics, illustrations, logos, patents, trademarks, service marks, copyrights, photographs, audios, videos, HTML, files, and User Content ("MMB Content"), and all intellectual property rights related thereto, are the exclusive property of MMB and/or its affiliates or licensors. Except as explicitly provided herein, nothing in these Terms shall be deemed to create a license in or under any such intellectual property rights, and you agree not to sell, license, rent, modify, distribute, copy, reproduce, transmit, publicly display, publicly perform, publish, adapt, edit or create derivative works from any materials or content accessible on the Service. Use of MMB Content or materials on the Service for any purpose not expressly permitted by these Terms is strictly prohibited.

(6) Pricing

MMB aims to ensure that prices of all Services offered are true and correct. However, from time to time, the prices of certain Services may not be current or may be inaccurate on account of technical issues, typographical errors, or incorrect product information provided to the Company by a third-party seller. In each such case, notwithstanding anything to the contrary, the Company reserves the right to cancel the order without any further liability.

(7) Payment Terms

MMB will invoice you and you agree to pay for Programs or to purchase Services you avail.

You are solely responsible for payment of all taxes, legal compliances, statutory registrations and reporting. MMB is in no way responsible for any of the taxes except for its own income tax.

You are solely responsible for enrolling into a program and/or service to check the accuracy of, and evaluate the suitability and relevance of, the program and/or service elected. The enrolment into a program or purchase of any services is non-transferable.

Method of payment: Online: The payment could be paid online through the facility made on the mobile application / software/ website. Third parties support and services are required to process online fee payment. MMB is not responsible for any loss or damage caused to you during this process as these third parties are beyond the control of MMB. MMB does not support all payment methods, currencies or locations for payment. All applicable taxes are calculated based on the billing information you provide to us at the time of enrolment/purchase.

It shall be considered the payment process to be completed only on receipt of the amount to MMB's designated bank account. All charges/fees are exclusive of taxes. Goods and Service Tax is levied at the applicable rates.

You may cancel your enrolment at any time. No refund will be made once the payment (in part or whole) for a program and/or services has been made. We do not provide refunds for the lack of usage or dissatisfaction.

In order to process the payments/refunds, MMB might require details of bank account, credit card number etc. Non-payment of charges for Services, MMBreserves the right to discontinue the Services to you and delete all information in their Account, apart from reserving any legal recourse available.

(8) Covenants by MMB

MMB covenants that any Services, or content published and distributed on mobile application / software / website and other related activities shall not violate the following terms that is incorporated herein by reference and as it may be amended from time to time, nor shall they:

Be false, inaccurate or misleading;
Be fraudulent or involve the sale of counterfeit or stolen items;
Infringe or misappropriates any third party's copyright, patent, trademark, trade secret or other proprietary rights or rights of publicity or privacy;
Violate any law, statute, ordinance or regulation (including, but not limited to, those governing privacy, publicity, export control, consumer protection, unfair competition, antidiscrimination or false advertising).

(9) Covenants by User / You

You covenant that you shall not carry on any activity with regards to Services, or content published and distributed on mobile application / software / website which shall violate agreed Terms herein along with the following terms:

Be harmful or potentially harmful to MMB Server infrastructure as determined in MMB's sole discretion, including without limitation overloading its technical infrastructure.
Create liability for MMB and its subcontractors or expose them to undue risk or otherwise engage in activities that MMB, in its sole discretion, determines to be harmful to MMB's affiliates, operations, reputation, or goodwill, and link directly or indirectly to or include descriptions of goods or services that violate any applicable law, statute, ordinance or regulation, or that violate MMB's Prohibited and Restricted Items clauses that are incorporated herein by reference and may be amended from time to time.
You agree to display and adhere to terms of use or other user-type agreement, as well as a privacy policy, etc.

Breach of Covenants: Your failure to comply with the covenants set forth in Clause 9 of this Terms will amount to a breach of this Terms and is cause for immediate suspension of your account, programs and / or MMB’s services apart from reserving any legal recourse available.

(10) Third-Party Websites, Advertisers or Services

MMB may contain links to third-party websites, advertisers, or services that are not owned or controlled by MMB. MMB has no control over, and assumes no responsibility for, the content, privacy policies, or practices of any third-party websites or services. If you access a third-party website from MMB, you do so at your own risk, and you understand that these Terms and MMB’ Privacy Policy do not apply to your use of such sites. You expressly relieve MMBfrom any and all liability arising from your use of any third-party website or services or third party owned content.

Additionally, your dealings with or participation in promotions of advertisers found on MMB, including payment and delivery of goods or services, and any other terms (such as warranties) are solely between you and such advertisers. You agree that MMBshall not be responsible for any loss or damage of any sort relating to your dealings with such advertisers.

We encourage you to be aware of when you leave the Service, and to read the terms and conditions and privacy policy of any third-party website or service that you visit.

(11) Privacy

We view the protection of your privacy as a very important principle. We shall store and process your personal information on computers that are protected by physical as well as reasonable technological security measures and procedures in accordance with Information Technology Act 2000 and the rules thereunder. You are advised to access and review our present Privacy Policy. If you object to your personal information being transferred or used in this way, please do not use MMB.

MMB and its affiliates may share / sell / transfer / license / covey some or all of your personal information with another business entity should MMB(or its assets) plan to merge with or are acquired by that business entity, or re-organization, amalgamation, restructuring of business or for any other reason whatsoever. Should such a transaction or situation occur, the other business entity or the new combined entity will be required to follow the privacy policy with respect to your personal information. Once you provide your information to MMB, you provide such information to MMBand its affiliate and MMBand its affiliate may use such information to provide you various services with respect to your transaction whether such transactions are conducted on MMBor with third party merchant's or third party merchant's website.

(12) Termination

MMB may terminate, suspend, or otherwise refuse to permit your access to the Service without notice and liability for any reason, with or without notice, which may result in the forfeiture and destruction of all information associated with your Account, if MMB believes that you have (a) breached the Terms; (b) infringed the intellectual property rights of a third party; (c) posted, uploaded or transmitted unauthorized Content on the MMB; or (d) violated or acted inconsistently with the letter or spirit of these Terms or any other applicable code of conduct. If you wish to terminate your account, you may do so by following the instructions on the Site / App. Any fees paid hereunder are non-refundable. All provisions of these Terms which by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

(13) Indemnity

You shall defend, indemnify, and hold harmless MMB, its affiliates and each of its and its affiliates' employees, contractors, directors, suppliers and representatives from all losses, costs, actions, claims, damages, expenses (including reasonable attorney's fees) or liabilities, that arise from or relate to your use or misuse of, or access to, the Site, App, Services, Content or otherwise from your User Submissions, violation of these Terms, or infringement by you, or any third party using your Account, of any intellectual property or other right of any person or entity (save to the extent that a court of competent jurisdiction holds that such claim arose due to an act or omission of MMB). MMBreserves the right to assume the exclusive defense and control of any matter otherwise subject to indemnification by you, in which event you will assist and cooperate with MMB in asserting any available defenses.

(14) Disclaimers of Warranties and Limitation of Liability

The disclaimers and limitations on liability in this clause apply to the maximum extent allowable under applicable law. Nothing in this section is intended to limit any rights you have which may not be lawfully limited.

You are solely responsible for your interactions with other MMB, other Users or other parties and we are not responsible for the activities, omissions, or other conduct, whether online or offline, of any third parties, including other MMB Users. We are not responsible for any incorrect, inaccurate, or unlawful content posted on MMB, whether caused by Users or by any of the equipment or programming associated with or utilized in MMB. We assume no responsibility for any error, omission, interruption, deletion, defect, delay in operation or transmission, communications line failure, theft or destruction or unauthorized access to, or alteration of, any communication with any third parties, including other MMB Users. We are not responsible for any problems or technical malfunction of any hardware and software due to technical problems on the Internet or on MMBor combination thereof, including any injury or damage to any MMB Users or to any person's computer related to or resulting from participation or downloading materials in connection with MMB.

Under no circumstances is MMB responsible for any loss or damage or defect in the Services or from any content posted on MMB or transmitted to MMB Users, or any interactions between MMB Users, whether online or offline.

MMBservice is provided "as-is" and as available. We expressly disclaim any warranties and conditions of any kind, whether express or implied, including the warranties or conditions of merchantability, fitness for a particular purpose, title, quiet enjoyment, accuracy, or non-infringement. We make no warranty that: (a) MMB will meet your requirements; (b) MMB will be available on an uninterrupted, timely, secure, or error-free basis;or (c) results that may be obtained from the use of MMBwill be accurate or reliable.

You hereby release MMBand its affiliates, directors, representatives, etc. from any and all claims, demands, and losses, damages, rights, claims, and actions of any kind that are either directly or indirectly related to or arises from: (a) the actions, content, or data of third parties (including, advertisers and other Users); and(b) your participation in any offline events.

You understand and agree that the MMB Content and all other information, data, or other material downloaded or otherwise obtained through or from the MMB is obtained at the user's own discretion and risk, and that the user will be solely responsible for any damage to the user, the user's computer system, electronic device or any loss of data that results from the download of such material or data.

In no event shall MMB be liable to you or any third party for any lost profit or any indirect, consequential, exemplary, incidental, special, or punitive damages arising from your use of MMB, even if we have been advised of the possibility of such damages. Notwithstanding anything to the contrary contained herein, where permitted by applicable law, you agree that MMB liability to you for any damages arising from or related to your use of MMB (for any cause whatsoever and regardless of the form of the action), will at all times be limited to INR 1,000 (Rupees one thousand only).

In the event you find that the information provided on the MMB is incorrect, or if you are the owner of any information or content and wish that such information or content is not displayed on the MMB, kindly notify us at the address provided at the bottom of the page.

(15) Assignment

This Agreement, and any rights and licenses granted hereunder, shall not be transferred or assigned by you, but may be assigned by MMB, without restriction.

(16) No Waiver

No waiver of any term of these Terms shall be deemed a further or continuing waiver of such term or any other term, and MMB's failure to assert any right or provision under these Terms shall not constitute a waiver of such right or provision.

(17) Notices

All notices and communications shall be in writing, in English and shall be deemed given (a) if delivered personally or by commercial messenger or courier service or mailed by registered or certified post (return receipt requested) or (b) sent via e-mail communication (with acknowledgment of complete transmission) to the following address:

If to MMB, by e-mail at info@mentormyboard.comor at the address posted on the Website. If to a registered User, by e-mail at the address specified while registering or address available on My Account.

Notice shall be deemed to have been served 48 hours after it has been sent, dispatched, displayed, as the case may be, unless, where notice has been sent by e-mail, it comes to the knowledge of the sending party, that the e-mail address is invalid.

(18) Applicable Law

Terms of Use shall be governed by and interpreted and construed in accordance with the laws of India, without reference to conflict of laws principles. The place of jurisdiction for disputes arising in relation hereto shall be subject to the exclusive jurisdictions of the courts in Mumbai, Maharashtra, India.
